Nexxus Lighting to Acquire LightWild

CHARLOTTE, N.C.--(BUSINESS WIRE)--Nexxus Lighting, Inc. (NASDAQ:NEXS), a world leader in advanced lighting technology, including solid-state LED and fiber optic lighting systems and controls used in commercial, architectural, signage, swimming pool and retail lighting today announced that it has signed a non-binding letter of intent to acquire LightWild, an Overland Park, Kansas manufacturer of software-controlled solid-state LED products for the architectural lighting market. The transaction is scheduled to close on or before August 30, 2007, subject to satisfactory completion of a due diligence review, approval of Nexxus’ board of directors and other customary closing conditions.

“LightWild’s ability to deliver complete LED solutions from controls to fixtures has been very well received by light designers and architects and is expected to be an exciting addition to the Nexxus Lighting family,” said Mike Bauer, President and CEO of Nexxus Lighting. “Our goal is to provide the team at LightWild with the support they need to accelerate their expansion into the architectural lighting market with their unique LED products and services.”

LightWild Will Bring Distribution Network, Light Control Technology to Nexxus

LightWild’s nationwide distribution network is expected to further expand Nexxus Lighting’s access to the key specifier community. Light designers and architects have selected LightWild’s products for projects ranging from hospitality, retail, and health care facilities to large scale projects such as high-rise buildings and arenas.

LightWild’s strong software engineering focus, extensive lighting controls, and mature technology platform provides a robust architecture for simple to complex lighting applications and is expected to benefit all Nexxus brands. LightWild’s solutions can operate by themselves or in conjunction with other building automation and DMX lighting control solutions for dimming, color control or full-scale entertainment applications.

LightWild’s LED Products Uniquely Positioned in Marketplace

Each of LightWild’s three UL Listed LED product families are uniquely positioned in the market including:

1) LightWild Floor Tiles – Weather-proof LED illuminated tiles for indoor/outdoor concrete, wood, tile, landscape paver and flooring applications;

2) LightWild Linears – An industry unique, modular linear that is used for edge lighting, grazing and building border illumination;

3) LightWild Pixels – A toolset lighting product for specifiers that meets numerous lighting applications. Pixels are used to create text, animations and images across large building surfaces and to wash curtains, walls or glass. They also meet illumination needs for flush mount lighting applications.

LightWild’s product installations include sites such as The Garmin Store in Chicago, University Park at M.I.T. in Boston, the Atlantis III Resort in the Bahamas, and the Kansas City Art Institute in Kansas City, Missouri. See more information at http://www.lightwild.com/showcase.

“LightWild’s employees are energized by the opportunity to join Nexxus Lighting,” said Tom Stafford, President of LightWild. “The Nexxus growth strategy of acquiring and empowering key LED brands will allow the lighting specification community to leverage one company relationship that meets numerous lighting requirements for projects. We strongly believe the combined resources and knowledge throughout the expanding Nexxus Lighting organization will be very beneficial to our growth, both in product development and service to our representatives and customers.”

LightWild to Maintain Branding, Location in Overland Park, KS

The plan calls for LightWild to remain at its current location and maintain its brand identity under the Nexxus Lighting corporate umbrella. Mr. Stafford will remain as President of LightWild reporting to Mr. Bauer. He will be working closely with the Nexxus Lighting executive team and board of directors on executing the company’s strategic vision to connect advanced technology with light.

Both parties have agreed that no other details of the proposed transaction will be disclosed at this time.
